TERMS
AND CONDITIONS
The
submission of information to, and use of, the business listing service
provided by the World Source Center web site
(located at http://www.WorldSourceCenter.com) is subject to the following
terms and conditions.
By
submitting information to, or accessing information from World Source
Centers Services, YOU, the broker, AGREE TO THE FOLLOWING TERMS AND
CONDITIONS. These Terms and Conditions are a legal agreement between you
and World Source Center.
Membership Privileges
World
Source Center grants Membership Privileges exclusively to individuals who
have enrolled in World Source Center’s membership program & paid the
required membership fees. These privileges and are for the sole use of the
registered member only. These membership rights cannot be transferred,
re-assigned, sublicensed, accessed, distributed, shared, viewed, or other
wise made available to anyone other than the sole registered member
without the express written permission of World Source Center. Membership
Users shall maintain a valid email address and a password, which shall be
utilized for logging on to the “membership” section of World Source
Center’s website. Listings added with this email/password combination can
only be and at any time be removed solely by the posting broker or the
World Source Center administration.
Listing
Submissions and Application there of
Broker
agrees not to submit any business information including contact
information, descriptions, photographs, financial, or other information
contained in each business's data to World Source Center unless the Broker
has received all necessary rights and authorizations, including from the
photographer and/or copyright owner of any photographs, to publish and
advertise the business on the Broker's website or on the World Source
Center website. World Source Center, reserves the right to remove listing
that have been submitted in violation of these terms. World Source Center
may require additional evidence of compliance with this provision from
Brokers who are alleged to have submitted businesses or other information
in violation of this Agreement. The Company will, in its sole discretion,
terminate the accounts of, and refuse service to, any Broker who
repeatedly or knowingly violates this Agreement. Additionally, the Broker
agrees to allow the Listing, or any part of it, to be searched, displayed,
accessed, downloaded, copied, and otherwise referred to by users of the
Broker's website or the World Source Center website. World Source Center
reserves the right to decide the manner in which any Business will be
searched, displayed, accessed, downloaded, copied, and otherwise used on
the World Source Center website and shall have the right to modify the
business listing in the exercise of its rights under this Agreement. The
Broker (a) represents and warrants that all Businesses and associated
information provided by the Broker will be accurate; (b) agrees that the
Broker will not permit the posting of a business on the World Source
Center system under a name other than the named licensed business agents
that have been engaged by the business owner to market the business under
the terms of a duly executed listing agreement with the owner; (c) agrees
to administer the Businesses provided by the Broker and maintain their
accuracy at all times. World Source Center reserves, in a manner
consistent with reasonable commercial business practices, the right to
remove all or any part of the Businesses posted on the Broker's website or
on the World Source Center website. The Company accepts no responsibility
for checking the accuracy of reports or data files submitted by the
Broker. While the Company shall take all reasonable efforts for data
backup and business resumption, the Broker will be solely responsible for
retaining back-up copies of all information, photographs and other
materials it provides to World Source Center. Listings may be removed at
any time by the posting broker or the World Source Center Administration
only.
Use of
Information
Broker
agrees to treat all information obtained from the Service, including
business listings, business broker directory (“BrokerPages”), pricing
reports, and any other information otherwise made available to Broker in
the Service (individually and collectively, the “Content”) as proprietary
to Company. Broker agrees that Content reserved for members will be
maintained as confidential and shall be protected as a trade secret of
Company. Company does not ensure the accuracy of, endorse or recommend any
Content and Broker uses such Content at the Broker's own risk. Broker may
access the Content solely to obtain initial information from which further
evaluation and investigation may commence. Brokers shall limit access to
and use of Content to personal and internal use, and shall not use Content
obtained from the World Source Center’s Listing Service to use for further
distribution, publication, public display, or preparation of derivative
works or facilitate any of these activities in any way. Broker shall not
use or reproduce Content obtained from the Service for or in connection
with any other listing service or device. Brokers violating these specific
terms, specifically those brokers searching the Service in an abusive or
excessive manner, by automated or manual means, shall be subject to
immediate termination of their membership.
Terms & Conditions of
Payment
Brokers
enrolled in World Source Center’s membership program agree to pay World
Source Center the monthly service fee of $4.99 per month using the payment
method indicated by the member and provides World Source Center’s express
authorization to charge said fees to their payment provider. Any attorney
fees, court costs, or other costs incurred in collection of delinquent
undisputed amounts shall be the responsibility of and paid for by the
broker. If payment is not current, World Source Center may immediately
cease to provide any and all services to the broker. The fees paid for
monthly subscriptions are non-refundable, regardless of whether the
subscription is terminated prior to the end of the month. Brokers may
cancel their World Source Center membership by emailing calling Broker
Services at (888-LEAP-888) All cancellation requests will be processed
within five (5) business days, and a cancellation confirmation will be
emailed to the email address on record for the account. The membership
will be deactivated at the end of the current billing term. World Source
Center reserves the right to change its fees or billing methods at any
time. World Source Center will provide timely notice to the affected
Brokers of any such changes. It is the Broker's responsibility to promptly
providing World Source Center with any contact or billing information
changes or updates (including email address, credit card numbers, etc.).
World
Source Center Membership
World
Source Center Membership privileges are granted by Company to individuals
exclusively and are granted specifically to the subscribing World Source
Center Member only. World Source Center Membership rights can not be
assigned, sublicensed, distributed, shared, viewed, accessed, or otherwise
transferred to anyone other then the subscribing World Source Center
Member without the express written permission of World Source Center.
World Source Center Membership privileges are subject to change from time
to time and may be subject to additional business listing and searching
limitations. World Source Center reserves the right to refuse service to
any broker or company that has delinquent charges that remain unpaid and
to impose additional charges to reactivate World Source Center or other
membership privileges.
World
Source Center Member subscriptions will automatically renew at the
prevailing monthly subscription cost and the credit card number provided
for initial payment will be charged accordingly unless the broker notifies
World Source Center Client Services (in writing or by telephone) 30 days
prior to the renewal date. The Company reserves the right to change its
fees, payment frequency, or billing methods at any time. The Company will
provide timely notice of any such changes.
Listing
Restrictions
Broker
acknowledges that business listings will only be added to the World Source
Center web site if all contacts added to that listing is either their own
or that of another World Source Center member.
Trademarks
Certain trademarks, trade names, service marks and logos used or displayed
on the World Source Center Site are registered and unregistered
trademarks, trade names and service marks of World Source Center and its
affiliates. Other trademarks, trade names and service marks used or
displayed on this Web Site are the registered and unregistered trademarks,
trade names and service marks of their respective owners. Nothing
contained on this Site grants or should be construed as granting, by
implication, or otherwise, any license or right to use any trademarks,
trade names, service marks or logos displayed on this Site without the
written permission of World Source Center or such third party owner.
Limitation of Liability and Indemnification
IN NO EVENT
SHALL World Source Center BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL
OR CONSEQUENTIAL DAMAGES (INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS
OF BUSINESS PROFITS, LOSS OF BUSINESS, LOSS OF USE OR OF DATA, OR
INTERRUPTION OF BUSINESS) ARISING OUT OF THIS AGREEMENT. World Source
Center (and its officers, directors, employees and agents) shall not be
liable for any damages whatsoever arising from Broker’s use of Services
and Broker shall indemnify World Source Center (and World Source Center's
officers, directors, employees and agents), and hold each of them harmless
from and against any and all costs, damages or losses by any of them
(including, without limitation, reasonable attorneys' fees) as a result of
a claim by any person other than the broker arising from broker's use or
application of the Services.

Third Party Sites
World
Source Center’s website may contain links to other Web Sites (“Linked
Sites”). The Linked Sites are not under the control of World Source
Center and World Source Center is not responsible for the contents of any
Linked Site, including without limitation any link contained in a Linked
Site, or any changes or updates to a Linked Site. World Source Center is
not responsible for “webcasting” or any other form of transmission
received from any Linked Site. World Source Center is providing these
links to the user as a convenience only, and the inclusion of any link
does not imply endorsement by World Source Center of the Linked Site or
any association with World Source Center’s operators.
Other
Rights of World Source Center
Broker
agrees that World Source Center shall have the right to use Listings and
other information submitted to it for any purpose, including without
limitation for publication of all or part of such Listing on the Internet
for unrestricted use by World Source Center brokers and partners. Company
shall have sole authority to choose the manner in which any Listing will
be received, displayed and used by the Service, and reserves the right to
remove all or any part of a Listing or refuse Services to anyone at any
time in its sole discretion. Company shall have no obligation to (i)
resolve disputes among users of the Service; or (ii) monitor or verify the
accuracy or proper use of the Listings. Company reserves the right to
modify or change any and all terms and conditions at any time. The most
current copy of these terms and conditions will be posted and available
for review on Company's corporate web site.
If you do
not agree to these Terms and Conditions, do not submit information to, or
access information from, the Service. All questions concerning this
Agreement should be directed to: General Manager, World Source Center, 9
East Merrick Rd, Freeport NY 11520. Company may update these terms and
conditions at any time and without notice. The latest version of the terms
and conditions is available on the World Source Center website at http://www.World
Source Center.com/terms.htm.
World
Source Centers has the right to refuse service to any member that refuses
to abide by the terms and conditions herein or abuses their rights related
to the World Source Center service.
